Terms and Conditions of Sale

"The Company" refers to "gpsurgicalservices.com" "the Customer" means the individual, practice, firm, company, or other party with whom the Company contracts. This agreement is applicable to all goods and a service supplied in the United Kingdom by " Company", whether ordered from this catalogue or otherwise and supersede or cancels all previous printed Terms and Conditions of Sale.

1. CUSTOMER CONDITIONS.
These conditions apply to any contract of sale between the Company and the Customer to the exclusion of any different terms and conditions issued by the Customer, except insofar as the Company and the Customer may have otherwise agreed.
gpsurgicalservices.com does not supply goods to the general public via its website. However, enquiries are invited from the general public to info@gpsurgicalservices.com

2. PRICES.
While every effort is made to maintain prices, the Company reserves the right to alter prices without notice at any time before delivery, to reflect increases imposed by manufacturers and when currency exchange rates adversely affect the cost of imported goods.

3. V.A.T.
Prices are exclusive of V.A.T. at 17.5 (where applicable). The Company will vary prices to reflect any changes in V.A.T. rate of V.A.T. due in respect of the sale.

4. CARRIAGE.
Carriage and packing will be charged on orders under £50 at £7.95 per box of less than 25kgs (excluding V.A.T.).

5. PAYMENT.
Full payment must be made within 30 days of statement date. The Company reserves the right to remove discounts for late payments.

6. OVERDUE ACCOUNTS.
Orders received from a customer whose account is overdue may not be processed until the account is settled in full.

7. DELIVERY.
Any date or period for delivery or any date of delivery stated in any contract is intended by the Customer and accepted by the Buyer as being an estimate only, not giving rise to contractual obligations.

8. SHORTAGES, DAMAGES AND NON DELIVERY.
Should goods not arrive within 14 days of the despatch dates shown on the invoice, the Company must be advised immediately so that a claim may be made on the carrier. In the case of damage or shortages the Company must be notified within 3 working days of receipt of goods. In case of a claim all cartons and packing material should be retained for examination either by the carrier or insurance company.

9. CANCELLATION OF GOODS.
The Company shall endeavour to meet Customer & individual requirement but the Company shall be under no obligation to accept cancellation or amendment of any order or any part of an order. Where such cancellation or amendment is accepted it is on the understanding that a cancellation or amendment charge may be levied.

10. PROOF OF DELIVERY.
Where a customer requests such proof and this is provided, the Company reserves the right to charge for any costs incurred in obtaining this information.

11. GOODS RETURN PROCEDURE.
Subject to prior arrangement goods may be accepted back for credit or replacement providing the goods were not obtained specially and that they are in sound and saleable condition. The name and address of the sender must be enclosed with each package and accompanied by an advice note showing full details. A handling charge could be incurred for late returns.

12. SPECIFICATIONS.
Descriptions and illustrations are accurate at time of publication. Due to continuing development, the Company reserves the right to supply later versions of the goods described. Every effort has been made to ensure the accuracy of the information contained in this catalogue. However, the Company cannot be held responsible for any mistakes or for any damages resulting from the use of materials described herein.

13. CONDITIONS AND WARRANTIES.
The following provisions apply in contacts for the sale of goods as defined by Section 62 of the Sale of Goods Act 1893 as amended hereinafter referred to as &ampldquoThe Act.&rdquo (a) In the case of a consumer sale as defined by section 55 (7) of the Act, the goods are supplied with the benefit where the same are applicable of the conditions and warranties implied by Sections 12-15 inclusive of the Act. (b) In any other case goods and materials are supplied with the benefit (where the same are applicable) of the conditions and warranties implied by Section 12 of the Act. (c) Save as aforesaid and save as herein expressly set out the goods are not supplied with, or subject to, any conditions warranty or other term whether express or implied unless specifically stated by the Company in writing.

14. RETENTION OF TITLE.
Goods that are supplied by the Company to the Buyer shall remain the property of the Company until full payment for the goods supplied to the Buyer and all other payments whatsoever due from the Buyer to the Company have been made. The separate identity of these goods should be maintained by the Buyer. The Buyer may, however, sell such goods in the normal course of business as agent and bailee for the Company and the proceeds of the sale shall be held separately to the account of the Company up to the amount of the full purchase price of the goods sold. The Customer&amprsquos right to sell the goods shall terminate immediately upon whichever is the earlier of, written notice from the Company or the appointment of any Receiver, Manager or Administrative Receiver to the whole or any part of the undertaking, business or assets of the Customer or if any petition is presented applying to the Court for the winding up of, or for an Administration Order to be made in relation to, the Customer or a resolution is passed for its winding up of or dissolution, or the Customer becomes bankrupt or enters into a composition or voluntary arrangement with its creditors.
